1. Introduction

These Terms and Conditions (“Terms”) apply to your use of drivingschoolsolutions.co.uk (the “Website”) and to the services we provide. Driving School Solutions is operated by Locale Digital Marketing & Websites, Sutton, London, SM1 4LS (“we”, “us”, “our”).

By using the Website, paying us, or accepting a proposal, order or plan from us, you confirm that you have read and agree to these Terms. If you do not agree, please do not use the Website or our services.

2. Definitions

  • Client / you: the driving instructor, driving school or business engaging our services.
  • Agreement: the proposal, order form, plan description or written confirmation we agree with you, together with these Terms. If anything in an Agreement conflicts with these Terms, the Agreement applies.
  • Project: a defined, one-off piece of work, such as a website build.
  • Plan: an ongoing monthly service, such as a local SEO or marketing plan.
  • Deposit: the upfront payment for a Project, as set out in section 7.
  • Scope: the pages, features and services agreed in writing before work starts.
  • Completion: the point at which the agreed deliverables are ready for your review.

3. Agreement and starting work

An Agreement is formed when you accept a proposal or order in writing (including by email or message), pay a deposit or invoice, or sign a proposal document. Verbal discussions alone do not create a binding Agreement.

We start work once any deposit or first payment due has been received. Any timescales we give are estimates unless the Agreement says otherwise.

4. Our services

We provide the following services to driving instructors and driving schools:

  • Website design, hosting and related set-up, including domains and business email where included in your plan.
  • Search engine optimisation (SEO) and local SEO.
  • Google Business Profile optimisation and management.
  • Social media management.

The services you receive are the ones set out in your Agreement. Services that are not in the Agreement are not included and may be quoted separately.

5. Scope and changes

Every Project and Plan is based on the Scope in your Agreement, including the number of pages, features and services. Requests that go beyond the Scope, such as extra pages, new features or major structural changes, are quoted separately and are only started once you have agreed the extra work and any extra cost in writing.

Small text edits and reasonable adjustments within the agreed Scope are part of the Project.

6. What we need from you

You agree to give us accurate information, timely access to the accounts and materials we reasonably need (for example your website, Google Business Profile and social media accounts), and prompt feedback and approvals. Delays in providing these may delay delivery. You confirm that you own, or have permission to use, all content, images and trademarks you give us.

7. Fees and payment

7.1 Website builds. A deposit of 50% of the agreed fee is payable before work starts, and the remaining 50% is payable on Completion. We hand over the finished website, including login details, once the full fee has been paid. If you cancel a Project, deposit refunds and any charges for work already carried out are dealt with as set out in your Agreement.

7.2 Monthly plans. Plans are charged monthly at the price stated in your Agreement or on the Website at the time you order. Unless stated, prices are per month.

7.3 General. Unless stated, prices exclude VAT where VAT applies. Invoices are payable within the period stated on the invoice. We may suspend services where undisputed invoices remain unpaid after a reminder.

8. Revisions

We welcome feedback and revisions are a normal part of a Project. Revisions should be reasonable, within the agreed Scope, and ideally sent together in one round of feedback rather than piece by piece. Changes that alter the original brief, or add pages, sections or features, are scope changes under section 5 and may be quoted separately.

9. Websites, hosting and domains

Once you have paid for a website in full, you own the website we build for you, apart from our pre-existing tools, templates and know-how, and any third-party software which stays under its own licence. Your domain name is registered in your name.

Hosting, SSL, email and ongoing updates are provided as described in your plan, for the period stated in it. Websites are built on WordPress unless agreed otherwise, and we aim to make them work well on mobile devices and in current major browsers. Hosting and plugins rely on third-party providers, so see section 14.

10. SEO and local SEO

We use reasonable skill and care and follow recognised good practice. The activities included in your plan, such as keyword research, on-page optimisation, citations and review support, are listed in your Agreement. SEO takes time, and results depend on factors outside our control, so see section 13.

11. Google Business Profile management

Your Google Business Profile belongs to you. We need manager access to it to carry out the work, and you should keep that access in place while we are working on it. We only ask real customers for reviews and never post or buy fake reviews, and you agree not to ask us to. We follow Google’s guidelines, which can change.

12. Social media management

Where social media management is part of your plan, the accounts remain yours. How content is created, approved and posted is set out in your Agreement. Platforms can change their rules and features, so see section 14.

13. No guarantee of results

Search engine rankings, website traffic, enquiries and pupil bookings depend on many factors outside our control, including search engine algorithms, competitors and your own business. We cannot guarantee any particular ranking, traffic level or number of enquiries. Any figures on the Website or in case studies describe results for specific clients and are not a promise of future results.

14. Third-party platforms and tools

Our services rely on third-party platforms such as Google, Meta, hosting providers and WordPress plugins. We are not responsible for changes these providers make to their services, policies or algorithms, or for outages outside our control.

15. Intellectual property

All content on the Website, including text, graphics, logos and design, belongs to us or our licensors and may not be copied or reused without our written permission. Rights in bespoke deliverables we create for you pass to you once you have paid in full, unless your Agreement says otherwise. We keep rights in our pre-existing tools, templates and know-how.

16. Confidentiality and data protection

We keep your confidential business information private and use it only to provide our services. We handle personal information in line with our Privacy Policy. Both of us agree to comply with our obligations under the UK GDPR and the Data Protection Act 2018. Where we process personal data on your behalf while delivering services to you, we do so only on your instructions and in line with data protection law.

17. Cancellation and ending the Agreement

Monthly plans. You can cancel a monthly plan by giving us 30 days’ written notice, including by email. Fees for the notice period and for work already carried out remain payable.

Projects. Cancellation of a Project is dealt with as set out in your Agreement and section 7.1.

Serious breach. Either of us may end an Agreement immediately by written notice if the other commits a serious breach that is not fixed within 14 days of being asked, or becomes insolvent.

18. Complaints

If you are unhappy with our work or service, please tell us as soon as possible at hello@drivingschoolsolutions.co.uk so we can put it right. Please include your name, your Agreement and what went wrong.

19. Our liability

Nothing in these Terms limits or excludes our liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any liability that cannot be limited under the law of England and Wales. Subject to that, we are not liable for loss of profit, business, revenue, goodwill or anticipated savings, or for indirect or consequential loss. Our total liability to you under or in connection with an Agreement is limited to the fees you paid us for the services in the 12 months before the claim arose.

20. Using the Website

You agree not to misuse the Website, including by attempting to gain unauthorised access, introducing malware, scraping it at scale or using it unlawfully. We aim to keep the Website accurate and available but do not guarantee that it will be free from errors or interruptions. Information on the Website is general and is not professional advice for your particular circumstances.

21. Changes to these Terms

We may update these Terms from time to time. The version on this page, with its date, applies to your use of the Website. Changes do not alter an existing Agreement unless you agree to them.

22. General and governing law

These Terms, together with any Agreement, are the entire agreement between us on their subject matter. If any part is found to be unenforceable, the rest remains in force. These Terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction, except that consumers in Scotland or Northern Ireland may bring claims in their local courts.
